Declaration
Welcome to the Terms of Service Agreement of GongChang.com (hereinafter referred to as the “Agreement”). The terms and conditions in this Agreement are applicable to your use of the tools and services for trading and communicating provided by GongChang.com in the B2B e-markets.
1. Acceptance of the Agreement
By accessing or using GongChang.com, you hereby agree to accept the terms and conditions set forth in this Agreement as a User and you will be bound by the terms and conditions of this Agreement. GongChang.com may amend the Agreement at any time by posting the amended and restated Agreement on the site. If you don’t agree the related amendment, you have no right to use this site. The amended and restated Agreement shall be effective immediately upon posting. Signing in or continuing to use the services shall be deemed to be acceptance of the amended terms. Unless otherwise specified, any operation to enlarge the range of our services or add new contents shall be bound by this Agreement. This Agreement may not otherwise be modified, except in writing by authorized top officers of GongChang.com.
2. Who can use GongChang.com?
GongChang.com provides services to individuals and companies who can form legally binding contracts under applicable law. So you must reach 18 or even above 18. If you are not qualified, please do not use the services. GongChang.com may, in its sole discretion, refuse the service to anyone at any time in order to protect the interests of GongChang.com. The services are not available to temporarily or indefinitely suspended members of GongChang.com.
3. Fees
It is free of charge for you to access to GongChang.com or register as a free member. GongChang.com reserves the right to modify the charging clause. Please note that we are not responsible for all the hardware, software, service and other based data on our servers while accessing our website. We reserve the right to change or discontinue, temporarily or permanently, some or all of the services at any time without notice.
4. GongChang.com is only a venue.
GongChang.com is only a venue for online trade by the users. They can negotiate about the goods and services. In addition, they can also get the information related to the trade. GongChang.com does not control the behavior of users on the site or the information provided by other users that is made available through our site. As a result, GongChang.com does not guarantee the quality, safety, legality or authenticity of any items offered or sold, the truth or accuracy of any listings, or the ability of sellers and buyers to obey their own obligations under the Agreement. Users are hereby made aware that there may be risks of dealing with people acting under false pretenses when using the site to conduct transactions, and if the risks do exist, they are borne by you.
5. Your Information
Your information refers to all materials you provide to us or other users in any public occasion or through all email forms during your registration, trading or product posting, including data, text, software, music, sound, photographs, pictures, graphics, video, messages, or other materials. You are solely responsible for your information, and our website is only a venue for you to post or release it. However, if we believe that "Your Information" may make us liable for any legal or moral responsibility, or is likely to make us (wholly or partially) lose our internet service providers or services from other suppliers, or you have not signed in or have not signed in again within the period specified by GongChang.com, then we may, at our sole discretion, take necessary or appropriate actions to "Your Information", including but not limited to delete such information. You hereby warrant that you own all rights including all copyrights of the information you submitted to GongChang.com. You acknowledge that GongChang.com has no responsibility to identify or determine which of your information should be protected. We are also not responsible if your information has been used by other users.
5.1 Registration Obligations
By joining or becoming a member of GongChang.com, you hereby agree to:
(a) provide true, accurate, current and complete information about yourself or your enterprise in the application form, and (b) maintain and promptly update your information to keep it true, accurate, current and complete. If you provide any information that is untrue, inaccurate, incomplete or not current, or GongChang.com has reasonable grounds to suspect that such information is untrue, inaccurate, not current or incomplete, we have the right to suspend or terminate your account and refuse any and all current or future use of the service (or any portion thereof) via any form. If you register on our website on behalf of a company or other legal entity, you should guarantee and declare that you have the authority to bind the company or the entity to this Agreement.
5.2 Member ID, Password and Security
During the registration process, you will create a Member ID and Password. You are solely responsible for maintaining the confidentiality of your Member ID and Password, and are fully responsible for all activities that occur under your Member ID and Password. You agree to (a) immediately notify GongChang.com of any unauthorized use of your Member ID or Password or any other breach of security, and (b) ensure that you properly exit the website at the end of each session. GongChang.com cannot and will not be liable for any loss or damage arising from your failure to comply with this Agreement.
5.3 Member Responsibilities
You guarantee that your information or the products submitted to GongChang.com for display on the site shall not:
a. be part of a scheme to defraud or involve the sale or attempted sale of counterfeit or stolen items;
b. infringe any third party’s proprietary right, copyright, patent, trademarks, trade secret, privacy, right reputation or other Intellectual property rights;
c. violate any law, statute, ordinance or regulation (including without limitation those governing export control, consumer protection, unfair competition, anti-discrimination or false advertising);
d. be defamatory, libelous, unlawfully threatening or unlawfully harassing;
e. be obscene or contain or infer any pornography or sex-related merchandising or any other content or otherwise promotes sexually explicit materials or is otherwise harmful to minors;
f. contain any computer viruses or other destructive devices and worms that have the effect of damaging, interfering with, intercepting or expropriating any software or hardware system, data or personal information;
g. link directly or indirectly to or include descriptions of goods or services or other materials that violate any law or regulation or are prohibited under this Agreement, or otherwise create any liability for GongChang.com.
5.4 Prohibited Items
You should not post or buy any products which: (a) may cause us to violate any related law, statute, ordinance or regulation, and (b) have been listed in the prohibited items of GongChang.com.
6. License to Member Web Page
After registering as a member of GongChang.com, you grant GongChang.com an exclusive, worldwide, permanent and royalty-free license (including the right to sublicense through multiple tiers), to (wholly or partially) use, copy, revise, release, translate, distribute, implement and display your information and any associated content, or shall apply your information to other content with respect to any form, media, or technology now known or later developed.
7. Privacy
In spite of the license to member web page in Section 6, GongChang.com will use your information according to our privacy policy. All of the items in our privacy policy are part of the Agreement. So you must read it carefully. Please notice that once you disclose your information of your own accord to GongChang.com, they may be accessible by any internet user and become public information, and thus be obtained and used by others, so you should exercise caution when deciding to disclose personally-identifying information.
8. Transaction Procedure
8.1 Adding Product Description Items
Product description is the written description, pictures/photos you submit to GongChang.com, which can be (a) the description of your products you own and want to sell; (b) the description of the products you are looking for. You can release any product description or release two types of product description simultaneously on GongChang.com on condition that they are classified into the correct categories. GongChang.com is not responsible for the content and the accuracy of product description.
8.2 Negotiation
Both parties should make inquires and quotes clear and then negotiate about them via GongChang.com.
8.3 Dispute Resolution
GongChang.com won’t and mustn’t be involved in any transaction of both parties. In the event that any user has a dispute with any party to a transaction, such user agrees to release and indemnify GongChang.com (and our agents, affiliates, directors, officers and employees) from all claims, demands, actions, proceedings, costs, expenses and damages (including without limitation any actual, special, incidental or consequential damages) arising out of or in connection with such transaction.
8.4 Common Sense
GongChang.com. shall not and will not try to monitor the information provided by the users. In essence, the information of the other users may be disgusting, harmful or inaccurate. In some cases, they may be fraudulent, so we suggest you use the common sense cautiously on this site.
9. Transaction System
9.1 Prohibited Conduct
You should agree that you will not use our site to help the deceiver (customer or the third party) and manipulate the negotiation results carried out by the other party in order to achieve their conspiracy.
9.2 System Integrity
You agree that you will never use any device, software or other routine to interfere with the normal operation or any transaction on our site. You should never impose unreasonable or disproportionate load on our site. You should never disclose your password to or share it with any third party, or use your password with no permitted purpose.
9.3 No Manipulation to Transaction
You should agree and admit that you use this site solely for your own personal or internal business purposes, not for all kinds of information agency or operating a business that competes with GongChan.com, including but not limited to copy any information displayed on GongChang.com without the prior written permission by our authorized top officers.
10. Termination
You should agree that GongChang.com reserves the right to terminate your service at any time, with or without notice, if it concludes that you have provided false information in connection with your member account, are engaged in fraudulent or illegal activities, or are engaged in activities which may damage the rights of GongChang.com or others. GongChang.com withholds the right to temporarily or permanently terminate your membership for any of the following reasons where you:
1. Utilize GongChang.com to send spam messages or repeatedly publish the same product information;
2. Post Information which is not related to the business to the members of GongChang.com with no request or authorization;
3. Impersonate or unlawfully post information or conduct business in the name of other company;
4. Any unauthorized access, use, modification or control of the GongChang.com database, network or related services;
5. Obtain GongChang.com Member ID and/or password by any means.
